Terms of Use and Sale

These Terms apply to all services of SARL NeuroLogic: training (online and in person), supervision and mentoring, education platforms (pro.neurologic.fr / .academy), the qEEG analysis and reporting platform (qeeg.neurologic.fr / .academy), and software (Barry / Barry+).
They apply to two categories of Client: professionals — individuals or entities acting in the course of their professional activity, including an employer, an OPCO or a public body financing a training action — and natural persons who undertake a training action on their own initiative and at their own expense (art. L6353-3 of the French Labour Code). Where a provision applies to only one of these categories, it says so.
Article 1 — Definitions
- NeuroLogic: SARL NeuroLogic, publisher of the services.
- Client / User: the professional Client or the Individual enrolee who subscribes to a service or holds an account.
- Individual enrolee: a natural person who enters into a professional training contract (contrat de formation professionnelle) on their own initiative and at their own expense, within the meaning of art. L6353-3 of the French Labour Code.
- Training agreement: a professional training agreement (convention de formation professionnelle) concluded with an employer, an OPCO or a public body financing a training action.
- qEEG Platform: the application at qeeg.neurologic.fr / .academy allowing upload of qEEG data, administration of NeuroMETRIC questionnaires, and access to interpretive reports.
- Patient / End client: the person cared for by the User, whose data may be processed via the qEEG Platform.
- Patient data: any data relating to a Patient entered or uploaded by the User (identity, clinical data, qEEG recordings, questionnaire responses, reports).
- Content: the training, software, methodologies, templates, documents and resources provided by NeuroLogic.
Article 2 — Purpose and scope
2.1 These Terms define the conditions under which NeuroLogic makes its services available. Any subscription or use of a service constitutes full acceptance of these Terms. They prevail over any other document, save for a specific written agreement — in particular a training agreement (convention de formation professionnelle) or an individual training contract (contrat de formation professionnelle), whose terms prevail over these Terms for the training action they cover.
2.2 The platforms, supervision and mentoring, qEEG reporting and software services are addressed to professionals. Training actions are open both to professional Clients and to Individual enrolees.
2.3 Where the Client is an Individual enrolee, the mandatory provisions of the French Labour Code governing professional training contracts apply (arts. L6353-3 to L6353-7), in particular as regards the content of the contract, the withdrawal period (Article 9) and the terms of payment (Article 6.5).
2.4 Where the Client is a consumer within the meaning of the preliminary article of the French Consumer Code, the mandatory provisions of that Code apply in addition, notably as regards complaints and mediation (Article 14). In all other cases the relationship is one between professionals and those provisions do not apply.
Article 3 — Accounts and access
3.1 Access to the platforms requires an account. On the qEEG Platform, new accounts are subject to approval by NeuroLogic before activation.
3.2 The Client warrants the accuracy of the information provided and undertakes to keep their credentials confidential. Any action taken from their account is deemed to be theirs. Any unauthorised use must be reported without delay to service@neurologic.academy.
3.3 Accounts are strictly personal and professional. The platforms are not intended for Patients / End clients, who interact with the qEEG Platform only via secure single-use links (questionnaires) and do not create an account.
Article 4 — Description of services
4.1 Training: NeuroTECH, NeuroPRO, NeuroMASTER pathways, workshops and communities, online and/or in person, governed where applicable by a separate professional training agreement and internal rules.
4.2 Supervision and mentoring: individual or group sessions, bookable notably via the integrated scheduling tool.
4.3 qEEG Platform: upload of qEEG data, administration of psychometric questionnaires (NeuroMETRIC), and production and delivery of interpretive reports. Processing of Patient data is governed by Article 11 (sub-processing) and the qEEG Annex.
4.4 Software: Barry / Barry+, provided under their own licence terms.
4.5 NeuroLogic has a best-efforts obligation (obligation de moyens). The qEEG reports and content are a professional decision-support aid and do not replace the User’s clinical judgment, nor a medical diagnosis. NeuroLogic does not treat Patients / End clients and issues no diagnosis.
Article 5 — Prices and VAT
5.1 Prices are stated in euros.
5.2 VAT treatment.
- Training actions falling within art. L6313-1 of the French Labour Code are exempt from VAT under art. 261-4-4°a of the French General Tax Code (CGI) where the supply is located in France. Invoices for these services carry the mention « TVA non applicable, art. 261-4-4°a du CGI ».
- qEEG reports, supervision and mentoring, and Barry / Barry+ licences are not covered by that exemption and are subject to VAT at the applicable rate.
- Clients established outside France. Where the Client is a business established outside France, the place of supply is the Client’s country under art. 259-1 of the CGI. No French VAT is charged, and the Client accounts for the tax under the reverse-charge mechanism where its own legislation so requires.
- The treatment actually applied is stated on each invoice.
5.3 The prices in force are those published at the point of subscription or order: training prices are displayed at enrolment; qEEG report and supervision prices are displayed on the qEEG Platform and on this site.
5.4 NeuroLogic may change its prices at any time; the applicable prices are those in force at the order date.
Article 6 — Orders, invoicing and payment
6.1 On the qEEG Platform, a billable event is generated when qEEG data is submitted for a report, and when a supervision session is booked. Billing occurs either per act (immediate payment) or on a monthly cycle, as configured for the account.
6.2 Card payments are processed via Stripe; invoices are issued via Pennylane. NeuroLogic does not store full payment-card data (see Privacy Policy).
6.3 Prices are payable as indicated at order. Where the training action is financed by a third party (an employer, an OPCO, France Travail or another public body), that financing is set out in the training agreement; if the funder does not pay, the sums remain due by the Client.
6.4 Late payment: any sum unpaid at its due date bears interest by operation of law at three times the statutory interest rate, plus a fixed recovery indemnity of €40 (art. L441-10 of the Commercial Code). NeuroLogic may suspend access in the event of non-payment.
6.5 Individual enrolees — no payment at signature. Where a natural person enters into a professional training contract on their own initiative and at their own expense, no sum is demanded or paid at signature. Where payment is made by card, the card is authorised at checkout and the amount is captured only after the withdrawal period set out in Article 9 has expired (art. L6353-6 of the French Labour Code). Payment schedule after the withdrawal period: thirty per cent (30%) of the price falls due at the expiry of the withdrawal period; the balance is payable in three (3) equal instalments as the training action proceeds. This schedule observes art. L6353-6 of the French Labour Code, which caps the sum payable at the expiry of that period at 30% of the price and requires the balance to be staged as the action proceeds. Training agreements signed by an employer, an OPCO or a public body are not affected by this Article.
Article 7 — Client obligations
The Client undertakes to:
- use the services lawfully, fairly and in accordance with their professional ethics;
- upload to the qEEG Platform only Patient data that they are legally entitled to process, with a valid legal basis and the Patient’s information (and consent where required);
- not misappropriate, copy, resell or make available to unauthorised third parties NeuroLogic’s Content and methodologies;
- ensure the compatibility and security of their own equipment and access.
Article 8 — Intellectual property and data ownership
8.1 Content, software, methodologies (qEEG, NeuroMETRIC), report templates and trademarks remain NeuroLogic’s exclusive property. Subscription grants a personal, non-exclusive, non-transferable right of use, limited to the service term.
8.2 Patient data remains the Client’s property (or their Patient’s). NeuroLogic processes it solely to provide the service, under Article 11 and the qEEG Annex. The Client may request an export of their data in a standard format.
8.3 NeuroLogic produces aggregated and anonymised statistics (a “cohort” dashboard) from the data held on the Platform, under the conditions and non-re-identification safeguards described in the Privacy Policy (§7) and the qEEG Annex, never re-identifying a Patient.
Article 9 — Right of withdrawal
9.1 Individual enrolees. Where a natural person undertakes a training action on their own initiative and at their own expense (art. L6353-3 of the French Labour Code), that person has fourteen (14) calendar days from the signature of the training contract in which to withdraw. No reason need be given and no penalty applies.
9.2 Legal basis. This period rests on art. L6353-5 of the French Labour Code, which sets a minimum of ten (10) days. NeuroLogic grants four (4) additional days contractually, as a term more favourable to the enrolee. This period is not the withdrawal period of art. L221-18 of the French Consumer Code, which is not the basis of the right described here.
9.3 How to withdraw. Withdrawal is notified by registered letter with acknowledgement of receipt addressed to SARL NeuroLogic, 18 avenue Jean Médecin, 06000 Nice, France. NeuroLogic also accepts notification by email to brendan@neurologic.academy. The date of dispatch is the date taken into account.
9.4 Effect. Where the enrolee withdraws within the period, no sum is due (see Article 6.5) and any card authorisation taken at checkout is released.
9.5 Professional Clients. The fourteen-day consumer withdrawal right of the Consumer Code does not apply to relationships between professionals. Training agreements signed by an employer, an OPCO or a public body are governed by the agreement itself and by arts. L6353-1 et seq. of the French Labour Code.
Article 10 — Liability
10.1 NeuroLogic has a best-efforts obligation and applies reasonable diligence to ensure availability and security.
10.2 NeuroLogic shall not be liable for: non-compliant use of the services or reports by the Client; clinical decisions taken by the Client; hardware incompatibility; network or third-party-provider failures; data loss attributable to the Client.
10.3 In any event, NeuroLogic’s liability, if established, is limited to the amounts actually paid by the Client for the relevant service during the twelve (12) months preceding the triggering event.
Article 11 — Data protection and sub-processing
11.1 For the Client’s account, billing and usage data, NeuroLogic acts as controller (see Privacy Policy).
11.2 For Patient data processed via the qEEG Platform, the Client acts as controller and NeuroLogic as processor within the meaning of Article 28 GDPR. The terms of this sub-processing (purposes, duration, security measures, sub-processors, assistance, fate of the data at end of contract) are set out in the qEEG Annex & Data Processing Agreement, which forms an integral part of these Terms and which the Client accepts upon creating a qEEG account.
11.3 The Client warrants that it holds, vis-à-vis its Patients, all legal bases and information required by the GDPR for the processing it entrusts to NeuroLogic.
Article 12 — Term, suspension and termination
12.1 Services are provided for the subscribed term. NeuroLogic may suspend or terminate access in the event of serious breach, non-payment, or unlawful use, after formal notice remaining without effect (except in an emergency).
12.2 At the end of the relationship, the Client may export their data; NeuroLogic then deletes or returns it under the conditions of the qEEG Annex.
Article 13 — Amendments
NeuroLogic may amend these Terms. Users are informed of material changes; continued use constitutes acceptance of the updated Terms.
Article 14 — Complaints and mediation
14.1 Complaints. Any complaint relating to a training action, a service or an invoice is addressed to:

NeuroLogic acknowledges receipt within seven (7) days and provides a reasoned response within thirty (30) days of receipt of the complaint.
14.2 Consumer mediation. Where the Client is a consumer within the meaning of the preliminary article of the French Consumer Code and the complaint has not been resolved, the Client may refer the matter free of charge to a consumer mediator, within one year of the written complaint (arts. L612-1 to L612-5 of the Consumer Code).

14.3 Disputes between professionals are governed by Article 17.
Article 15 — Accessibility and disability
NeuroLogic’s disability referent (référent handicap) is Brendan Parsons, Ph.D., BCN — brendan@neurologic.academy — +33 7 69 74 07 48.
Any person with a disability, and anyone who anticipates a difficulty in following a training action, may contact the referent before enrolling or at any point during the action. NeuroLogic responds within seven (7) days, examines the need individually, and where possible adjusts the timing, the format, the materials or the method of assessment. Where the adjustment required goes beyond what NeuroLogic can provide, the referent refers the person to a specialist body.
Article 16 — Language
These Terms and the related contractual documents are published in French and in English.
Where the Client is established in France, the French version alone prevails, in accordance with art. 2 of Law no. 94-665 of 4 August 1994 on the use of the French language. Any contract concluded with a French public-law body is executed in French (art. 5 of the same Law).
In all other cases the English version is provided for convenience and, in the event of a discrepancy, the French version prevails.
Article 17 — Governing law and jurisdiction
These Terms are governed by French law.
Any dispute between professionals falls within the exclusive jurisdiction of the Commercial Court of Nice (Tribunal de commerce de Nice), failing amicable resolution.
Where the Client is a consumer, the rules of jurisdiction of the Code of Civil Procedure and of the Consumer Code apply; the consumer may in particular bring proceedings before the court of the place where they lived at the time the contract was concluded or at which the harmful event occurred.
